Terms of Service
Welcome to PacSpace. These Terms of Service ("Terms") govern your access to and use of the services, software, and websites (collectively, the "Service") provided by PacSpace, Inc., a Delaware corporation ("PacSpace," "we," "us," or "our").
By accessing or using our Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you agree to these Terms on behalf of that organization and represent that you have the authority to do so.
1. Acceptance of Terms
By creating an account, accessing the API, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the modified Terms.
2. Service Description
PacSpace provides neutral settlement infrastructure for usage-based platforms. Our primary offering, the Balance API, enables businesses to:
- Record credit and debit events with immutable, timestamped receipts
- Derive balances from verified transaction records
- Compare balances against neutral truth for dispute resolution
- Generate verifiable receipts for counterparty reconciliation
The Service is designed for business-to-business use and is not intended for consumer applications.
3. Data Neutrality Principles
Our Commitment to Neutrality
PacSpace operates as neutral infrastructure. The following principles are fundamental to our Service and are legally binding commitments:
3.1 Impartiality
PacSpace does not favor any party in any transaction or dispute. We record and verify data; we do not adjudicate disputes or make determinations about which party is correct. Our role is to provide objective, verifiable records—not to take sides.
3.2 Immutability
Once data is recorded and verified through our Service, it cannot be altered, modified, or deleted by any party—including PacSpace. This immutability is enforced through cryptographic mechanisms and tamper-proof recording. Records are permanent and tamper-evident.
3.3 Equal Verification Rights
All authorized parties have equal access to verify records pertaining to their transactions. No party receives preferential access, earlier access, or more detailed access than another authorized party to the same records.
3.4 Non-Arbiter Role
PacSpace provides evidence infrastructure, not dispute resolution services. We do not:
- Make binding determinations about disputed amounts
- Decide which party is correct in a disagreement
- Provide legal, financial, or business advice
- Act as an arbitrator, mediator, or judge
Parties must resolve disputes through their own agreements, negotiation, or appropriate legal channels, using PacSpace records as evidence.
3.5 Data Integrity Commitment
We maintain cryptographic guarantees on record authenticity. Each record includes:
- A unique receipt identifier
- Cryptographic fingerprint of the record contents
- Timestamp from a trusted time source
- Permanent record for independent verification
3.6 No Data Manipulation
PacSpace cannot and will not modify, delete, selectively disclose, or manipulate verified records. This limitation applies to PacSpace employees, systems, and any third parties. Any request to alter records—regardless of source—will be refused.
4. Account Registration and API Keys
4.1 Account Creation
To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
4.2 API Keys
Access to the Balance API requires API keys issued through your account dashboard. You are responsible for:
- Keeping API keys secure and confidential
- Rotating keys if you suspect unauthorized access
- Not sharing keys with unauthorized parties
- All API calls made using your keys
4.3 Account Security
You must immediately notify us at security@pacspace.io if you become aware of any unauthorized use of your account or API keys.
5. Acceptable Use
5.1 Permitted Uses
You may use the Service for lawful business purposes in accordance with these Terms and applicable law.
5.2 Prohibited Uses
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the integrity or performance of the Service
- Reverse engineer, decompile, or disassemble any aspect of the Service
- Use the Service to store or transmit malicious code
- Exceed rate limits or use the Service in a manner that degrades performance for others
- Resell or redistribute the Service without our written consent
- Use the Service for money laundering, terrorist financing, or other financial crimes
- Submit false, misleading, or fraudulent data to the Service
5.3 Rate Limits
API usage is subject to rate limits as specified in your service plan and our documentation. We reserve the right to throttle or suspend access if you exceed these limits.
6. Data Ownership and Rights
6.1 Your Data
You retain all ownership rights in the data you submit to the Service ("Customer Data"). By using the Service, you grant PacSpace a limited license to process Customer Data solely as necessary to provide the Service.
6.2 Derived Data
PacSpace may generate derived data (such as receipt fingerprints, verification proofs, and permanent records) from Customer Data. This derived data is necessary for the Service's operation and may be retained according to the immutability principles described in Section 3.
6.3 Aggregated Data
We may use anonymized, aggregated data for improving the Service, provided such data cannot be used to identify you or your customers.
7. Fees and Payment
7.1 Pricing
Fees for the Service are set forth in your service agreement or on our pricing page. All fees are quoted in U.S. dollars unless otherwise specified.
7.2 Payment Terms
Fees are billed in advance on a monthly or annual basis, depending on your plan. Payment is due within 30 days of invoice date. We reserve the right to suspend Service for accounts with overdue payments.
7.3 Taxes
Fees do not include taxes. You are responsible for paying all applicable taxes, except for taxes based on PacSpace's net income.
7.4 Refunds
Fees are non-refundable except as required by law or as explicitly stated in your service agreement.
8. Intellectual Property
8.1 PacSpace IP
The Service, including all software, algorithms, user interfaces, designs, and documentation, is owned by PacSpace and protected by intellectual property laws. Patents are pending on our core technology.
8.2 License Grant
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes.
8.3 Restrictions
You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code of the Service.
8.4 Feedback
If you provide feedback or suggestions about the Service, we may use this information without obligation to you.
9. Confidentiality
9.1 Definition
"Confidential Information" means any non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential.
9.2 Obligations
Each party agrees to:
- Protect the other party's Confidential Information using reasonable care
- Not disclose Confidential Information to third parties without consent
- Use Confidential Information only for purposes of this agreement
9.3 Exceptions
Confidentiality obligations do not apply to information that is publicly available, independently developed, or rightfully received from third parties.
10. Warranties and Disclaimers
10.1 Our Warranties
PacSpace warrants that:
- The Service will perform substantially as described in our documentation
- We will maintain appropriate security measures
- We will comply with our Data Neutrality Principles
10.2 Disclaimer
EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE ARE NOT RESPONSIBLE FOR ANY DISPUTES BETWEEN YOU AND THIRD PARTIES.
11. Limitation of Liability
11.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PACSPACE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER PACSPACE WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.2 Liability Cap
PACSPACE'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO PACSPACE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
11.3 Basis of the Bargain
The limitations in this section reflect the allocation of risk between the parties and are an essential basis of the bargain between us.
12. Indemnification
12.1 Your Indemnification
You agree to indemnify, defend, and hold harmless PacSpace and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable law
- Any dispute between you and a third party
12.2 Our Indemnification
PacSpace will indemnify you against claims that the Service infringes a third party's intellectual property rights, provided you promptly notify us of such claims and cooperate in the defense.
13. Term and Termination
13.1 Term
These Terms are effective until terminated by either party.
13.2 Termination by You
You may terminate your account at any time by contacting us or using the account cancellation feature in your dashboard.
13.3 Termination by Us
We may terminate or suspend your access to the Service immediately if you breach these Terms, fail to pay fees when due, or if required by law.
13.4 Effect of Termination
Upon termination:
- Your right to use the Service will cease immediately
- You must pay any outstanding fees
- We will provide a reasonable period (typically 30 days) to export your data
- Verified records will remain immutable per our Data Neutrality Principles
13.5 Survival
Sections 3 (Data Neutrality), 6 (Data Ownership), 8 (IP), 9 (Confidentiality), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), 14 (Governing Law), and 15 (Dispute Resolution) shall survive termination.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
15. Dispute Resolution
15.1 Informal Resolution
Before initiating formal dispute resolution, you agree to contact us at legal@pacspace.io and attempt to resolve any dispute informally for at least 30 days.
15.2 Arbitration
Any dispute not resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in English and held in Wilmington, Delaware, or remotely at the parties' mutual agreement.
15.3 Exceptions
Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property rights. Claims within small claims court jurisdiction may be brought there.
15.4 Class Action Waiver
YOU AND PACSPACE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION.
16. Modifications to Terms
We may modify these Terms from time to time. We will provide at least 30 days' notice of material changes by email or by posting a notice on our website. Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the modified Terms.
If you do not agree to the modified Terms, you must stop using the Service and may terminate your account.
17. General Provisions
17.1 Entire Agreement
These Terms, together with the Privacy Policy and any service agreements, constitute the entire agreement between you and PacSpace regarding the Service.
17.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
17.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
17.4 Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
17.5 Force Majeure
Neither party will be liable for delays or failures in performance resulting from causes beyond its reasonable control.
